Overview

Following a number of high profile media scandals, corporate governance is high on the agenda for organisations around the world, with corporations increasingly expected to be transparent and fair. This course will give you the skills to influence strategic decision making, understand risk control and ethical considerations when it comes to leadership and managing relationships with investors and key stakeholders.

You will develop your understanding of general management theory, challenge current modes of thinking and generate new ideas to improve your professional practice. You'll gain a highly specialised set of board-level leadership skills, enabling you to recognise, analyse and, ultimately, influence the factors governing corporate affairs.

All suitable candidates will be required to attend an interview as part of the selection process. Your dissertation will be the culmination of your governance programme. The project will provide an opportunity to apply the skills and knowledge that you have acquired throughout your studies to the resolution of a business problem or in the investigation of an area that interests you further. You will undertake a sustained and challenging piece of research in your specialist area of corporate governance or Chartered Secretary practice. This module will require you to work across a variety of areas including design collection, analysis and interpretation of primary and secondary evidence. Your studies will enable you to learn more about real-world business issues and practices, and could help you to connect with a variety of organisations.

This module will enable you to develop a broad appreciation of the legal principles that underpin society and inform business best practice; an essential element in the role of the Chartered Secretary. You will understand the core legal principles that influence the commercial environment and you will gain insights into how such principles should be interpreted and applied in real working practice.

Chartered Secretaries help to ensure decisions are properly made and implemented, and that appropriate risk management systems are in place to maximise value for key stakeholders of the organisation. An understanding of how value is created or destroyed is central to the governance of an organisation, and this module will enable you to develop the knowledge and skills you will need to evaluate the impact of financial decisions on stakeholders. You will also understand how to participate in decision-making and processes concerning the maximisation of value in investment, finance and risk management, and the delivery of value for money in achieving the objectives of not-for-profit organisations.

You will gain a sound understanding of the legal framework that governs organisations, legal principles and their practical application, with particular focus on the UK law of registered company. Chartered Secretaries are required to have a sound knowledge and understanding of such legal framework and specifically how it applies in a business context. This module will develop your understanding of corporate law in the context of working with governing authorities across the private, public and voluntary sectors with issues of regulatory compliance.

This module will help you gain the knowledge and skills you will need to discharge your professional responsibilities as a Chartered Secretary, particularly so in a boardroom context where you will be able to contribute to the analysis, presentation and interpretation of corporate financial performance and results, including surfacing implications for the organisation, shareholders and stakeholders, and for effective corporate governance. You will be introduced to a range of fundamental financial accounting concepts and techniques, including how to appraise published financial statements involving the calculation and interpretation of key ratios, an evaluation of the impact of accounting policy and a critical appraisal of the usefulness published financial statements as a source of information.

You will focus on the elements, processes and techniques involved in the development and implementation of organisational strategy. In addition, you will understand the role of the Chartered Secretary in ensuring that strategy fits organisational purpose, that it is acceptable in terms of risk, and that it is consistent with good governance practices as well as with stakeholder requirements and concerns. This module will challenge you to critically evaluate the role played by Chartered Secretaries working in a senior management team supporting the decision-making processes. As the Chartered Secretary, your advice will include all aspects of governance obligations of organisations, covering not only legal duties, but also applicable and recommended standards of best practice. In this critical role, you will develop a sound understanding of corporate governance law and practice in a national and international context.

This module will provide you with a critical understanding of the different roles played by the Chartered Secretary in promoting and reinforcing good governance across the organisation and ensuring compliance with statutory obligations and good practice. You will gain a sound understanding of the practical work carried out by Chartered Secretaries in devising and overseeing appropriate systems and processes to ensure that the company and its directors are compliant with the Companies Act 2006 and with the company’s constitution. You will also study the management of practical and company law issues in relation to shareholders.

Course Director

Nick is the Director of Executive Learning within Leeds Business School. Working with the University’s Centre for Governance, Leadership & Global Responsibility, he has overseen a variety of executive courses including MBA (Executive), MA Executive & Business Coaching and MSc Executive Leadership & Corporate Social Responsibility, and professional programmes such as the Institute of Directors qualification. His is a specialist in corporate governance, decision-making, and executive and business coaching. Nick has worked with leading corporate mentors and coaches including Peter Bluckert, Bob Garvey, David Clutterbuck, Jeff Gold and Paul Turner. Nick takes a practitioner approach to coaching and mentoring and focuses on developing high-contact, deep-dive personal growth workshops with groups and teams with the aim to enable both immediate and long-term growth potential.

Corporate failure is often due to executives becoming removed from the reality of their business and focusing on the past instead of the future. For organisations to thrive in these challenging times, good governance is essential, and boards have to take collective responsibility for the business and directors must continually develop to stay ahead of the game. The company secretary should champion good governance practice and critical thinking within the boardroom.

Our City Campus is home to such award-winning learning environments as Broadcasting Place, voted best tall building in the world in 2010. Other buildings include the Rose Bowl, home to our Business School, which was awarded Best Commercial Property Development in the 2009 Yorkshire Property awards. Just over the road from the Rose Bowl is the Leslie Silver building which houses one of our impressive libraries across five floors. The library is open 24 hours a day, 7 days a week throughout the year.
